Frontline Technologies Group, LLC provides a web-based service where employers can advertise to and communicate with a database of individuals and prospective employees. The terms and conditions (“terms”) set forth below govern the Employer’s and its representatives’ use of the Frontline Technologies Group, LLC website and services and are legally binding on the Employer. In order to use this service, an authorized representative of the Employer must accept the following terms and conditions.

If the Employer does not agree with any of these terms, its representatives shall not access or otherwise use the Frontline Technologies Group, LLC website or services. The Employer’s representatives’ use of the Frontline Technologies Group, LLC website or services shall be deemed to be the Employer’s agreement to abide by the terms set forth below. It is the responsibility of the Employer to inform its representatives of these terms.

General Terms

Information pertaining to individuals found through Frontline Technologies Group, LLC is confidential and will not be shared with anyone outside of the Employer. The Employer will not distribute, disclose or transfer information to third parties unless compelled to by law.

The Employer will not provide services in competition with or substantially similar to the services provided by Frontline Technologies Group, LLC

The Employer understands that Frontline Technologies Group, LLC does not screen or verify any information provided by the individuals listed on its website. Therefore, the Employer is responsible for conducting its own search into the background, qualifications and credentials of any individual it chooses to hire.

Except as expressly stated herein, the Employer acknowledges that the Employer has no right, title or interest in or to any copyrights, trademarks, logos, graphics or images on Teachers-Teachers.com.

The Employer is prohibited from taking any action to circumvent or attempt to circumvent the security and access control provisions of Teachers-Teachers.com. The Employer acknowledges that it may not:

  • Provide false or misleading information on Teachers-Teachers.com or to Frontline Technologies Group, LLC

  • Use Teachers-Teachers.com to violate any applicable law or regulation, or violate the privacy or publicity rights of any other person.

  • Post any information that is abusive, defamatory, discriminatory, hateful, obscene, vulgar, sexually-orientated, threatening, or otherwise objectionable.

  • Harass, stalk, or otherwise subject any user of Teachers-Teachers.com and/or its services to unwanted and/or inappropriate contact.

  • Post any position or business opportunity which requires payment from the applicant or requires recruitment of other individuals, sub-distributors or sub-agents such as a multi-level marketing scheme, pyramid scheme, franchise or distributorship arrangement.

  • Use Teachers-Teachers.com and/or its services and/or its materials for any purpose other than to identify prospective employees for employment opportunities.

  • Make any changes, additions and/or deletions to any submissions posted by any user without the express written authorization of such other user.

  • Intentionally expose Teachers-Teachers.com and/or its services to any computer virus or any other program or code intended to disrupt or disable to operations of the website or its services.

  • Use any robot, spider or other program or device to retrieve or index any portion of the Teachers-Teachers.com website;

  • Harvest or otherwise collect information about users for any purpose other than use of Teachers-Teachers.com and/or its services as expressly permitted herein.

The foregoing list of prohibitions is illustrative and is not intended to be complete or exclusive. Frontline Technologies Group, LLC reserves the right to terminate our relationship with the Employer under these Terms and prohibit the Employer’s access to Teachers-Teachers.com and/or its services or to edit, remove or close any posting by the Employer for any reason.

Indemnification
To the fullest extent possible by law, in no event shall Frontline Technologies Group, LLC, its suppliers, affiliates, partners, representatives, officers, directors, agents, employees or any third parties mentioned on Teachers-Teachers.com be liable for any claim or demand for damages whatsoever (including, without limitation, incidental and consequential damages, direct, indirect or special damages, lost profits, exemplary, or punitive damages or damages resulting from lost data, lost employment opportunity or business interruption) resulting from the Employer’s use, misuse, inability to use or reliance on the Frontline Technologies Group, LLC services, website or content or arising from any claim relating to these terms of service, relationship with a third party, or relationship with Frontline Technologies Group, LLC, whether based on warranty, contract, tort, or any other legal theory, and whether or not Frontline Technologies Group, LLC is advised of the possibility of such damages and notwithstanding the failure of essential purpose of any remedy. Such limitation of liability shall apply whether the damages arise from information posted on the Teachers-Teachers.com website, from inability to use the Frontline Technologies Group, LLC services or website, or from the interruption, suspension, or termination of the Frontline Technologies Group, LLC services or website. This limitation shall also apply with respect to other services or links found on Teachers-Teachers.com. This limitation shall also apply to the costs of procurement of substitute goods or services, lost profits, or lost data. This limitation shall also apply, without limitation, in the event that the Employer’s account or information entered by the Employer, its users or its applicants is accessed, disclosed, altered, deleted, or compromised. While Frontline Technologies Group, LLC uses safeguards designed to protect the data entered into its system, it cannot guarantee that the security measures it has in place will never be defeated, compromised, or fail, or that the measures will be sufficient or effective. The Employer understands and agrees that it assumes all responsibility and risk for its use of Frontline Technologies Group, LLC Such limitation shall apply notwithstanding any failure of essential purpose of any limited remedy and to the fullest extent permitted by law.

The Employer agrees to indemnify and hold harmless Frontline Technologies Group, LLC and its affiliates, representatives, partners, officers, directors, agents and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to the violation by the Employer of any law of the rights of a third party.

Disclaimer of Warranty
To the fullest extent possible by law, the Teachers-Teachers.com website, information, services, materials, and content are provided on an “as is” basis without any warranties of any kind. Frontline Technologies Group, LLC disclaims all warranties, whether express or implied, and statutory warranties, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights. Frontline Technologies Group, LLC makes no warranties about the accuracy, quality, suitability, truth, security, reliability, completeness, performance or timeliness of the Frontline Technologies Group, LLC content, services, software, text, graphics, or links. Frontline Technologies Group, LLC and its licensors disclaim any warranties for any information or advice obtained through the Frontline Technologies Group, LLC services. If use of Teachers-Teachers.com, or its content, results in the need for servicing or replacing equipment or data or any other costs, Frontline Technologies Group, LLC is not responsible for those costs.

Choice of Law
This agreement shall be governed by the laws of the State of {{choiceOfLawState}} without the application of its conflicts of laws principles. In the event of any dispute between the parties, such dispute shall be resolved by binding arbitration in accordance with the rules for commercial arbitration of the American Arbitration Association. In the event of a dispute, controversy or claim arising out of or relating in any way to these Terms or otherwise between parties, the complaining Party shall notify the other Party, in advance of filing a demand for arbitration, in writing. The hearing shall be conducted in the City of {{choiceOfLawCity}}, {{choiceOfLawState}}, unless both parties consent to a different location. The decision of the arbitrator shall be final and binding upon all Parties.

The prevailing party to any dispute will be entitled to the receipt of reasonable attorney's fees and costs related to collecting an arbitrator's award. Any questions involving contract interpretation shall use the laws of the State of {{choiceOfLawState}}. An arbitrator's decision may be entered in any jurisdiction in which the party has assets in order to collect any amounts due hereunder.

If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. In addition, Frontline Technologies Group, LLC’s failure to enforce any term of these Terms shall not be deemed as a waiver of such term or otherwise affect Frontline Technologies Group, LLC’s ability to enforce such term at any point in the future.

This agreement constitutes the entire understanding of the parties with respect to the subject matter, supersedes all prior written or oral agreements, and may be modified in writing at any time, without notice.

The Employer fully understands and agrees to the above listed terms and conditions.
